The firm frequently handles cross-border matters — most often a foreign principal who wants to bring an asset or operating business into a U.S. public company. A typical structure forms a Nevada “Newco” to acquire the asset, then reverse-merges it into an OTC Markets pubco, with a future Nasdaq uplisting as the goal.
Where the facts warrant it, we flag regulatory considerations — for example, a matter that may, depending on the facts, warrant a CFIUS analysis — as diligence items to be worked through, not alarms.
