Evan J. Costaldo is a New York–based corporate and securities attorney with over two decades of experience representing private and public companies across a broad range of U.S. capital markets transactions and investment opportunities, spanning many industries.
As founder and Managing Partner of Costaldo Law Group P.C., he leads the firm as deal counsel and outside general counsel to its clients. Two areas occupy much of the firm’s practice: taking private companies public in the United States — organically via an S-1 registration statement, via a Regulation A (Tier 2) offering, or via the reverse-merger process — and representing publicly listed companies on their ongoing SEC reporting, financings, M&A, and corporate governance.
Under his direction, the firm works closely with funding sources — financial institutions, investment banks, broker-dealers, hedge funds, family offices, strategic investors, and high-net-worth individuals — to help raise capital for private and public companies. For every going-public engagement, the firm introduces and coordinates the full team, and Mr. Costaldo often acts as a quasi-executive for certain clients.
